PolicyPro® Launch Promotion
Sponsor: First Reference
Effective dates: February 17 through March 10, 2026 or until availability is exhausted or at the sole discretion of First Reference

1. Overview of Offer
   This limited time promotion provides discounted annual subscription pricing for PolicyPro® during the promotion period. Discount amounts vary based on eligibility and are applied via promotional codes at checkout. Specific promotional codes and their corresponding discounts are communicated directly to eligible customers through official First Reference channels.

2. Promotion Period
   The promotion begins on February 17, 2026 at 12:00 AM Eastern Time and ends on March 10, 2026 at 11:59 PM Eastern Time. First Reference may suspend or end the promotion at any time due to limited availability or for any other reason at its sole discretion.

3. Eligibility
   Eligibility for this promotion and the applicable discount amount are determined by First Reference based on customer relationship status. Promotional codes are non transferable and may only be used by the intended recipient. First Reference reserves the right to verify eligibility and may request documentation to confirm customer status.

A customer is not eligible under any of the following conditions:
The customer attempts to use a promotional code not issued to them or intended for a different customer segment
The customer attempts to redeem multiple promotional codes on a single subscription
The customer seeks to apply the offer in combination with other active promotions, discounts, credits, or referral rewards unless expressly authorized in writing by First Reference
The customer is delinquent, suspended, or has outstanding unpaid invoices with First Reference or its resellers

4. Offer Application and Limits
   The discount applies only to the first year of a new annual PolicyPro® subscription and does not include taxes, fees, add ons, usage based charges, implementation, onboarding, or professional services
   After the first year, billing will automatically renew at the then current standard rates unless the subscription is canceled in accordance with Section 7
   The promotion has no cash value and is non transferable. It may not be sold, exchanged, or redeemed for cash or credit
   The promotion cannot be combined with other promotions, coupons, negotiated discounts, or contract terms unless explicitly stated by First Reference in writing
   First Reference reserves the right to verify customer identity, eligibility, and compliance including requesting documentation. Failure to provide information may result in denial or reversal of the promotion
   Only one promotional code may be applied per subscription

5. Ordering and Billing
   Orders must be placed through approved First Reference channels such as the website, sales representatives, or authorized resellers during the promotion period
   The promotional code must be entered at checkout to receive the discount. Discounts cannot be applied retroactively to completed orders
   Pricing and currency are determined by the customer's contracting entity and region
   Any proration, partial month billing, or mid cycle changes are governed by the standard subscription terms

6. Exclusions
   The promotion excludes:
   Government, enterprise, or custom contracts where pricing and terms are separately negotiated
   Any subscription initiated prior to the promotion period or after its end
   Renewals of existing PolicyPro® subscriptions
   Any prior purchases or retroactive credits
   Free trial conversions that occur after the promotion period ends

7. Free Trial
   Customers may access a 30 day free trial of PolicyPro® independent of this promotion. If a customer on a free trial wishes to subscribe with a promotional discount, the subscription must be initiated before the promotion period ends on March 10, 2026. Promotional codes cannot be applied after the promotion period regardless of when the free trial began.

8. Cancellation and Changes
   Customers may cancel future billing at any time per the standard cancellation policy. No refunds or credits are issued for unused subscription time
   Changing product tiers or reducing seats after purchase may result in the loss or adjustment of promotional pricing on future billing cycles
   First Reference may correct obvious errors, misprints, or miscalculations in promotional application and reserves the right to revoke the promotion for abuse, fraud, or violation of these terms

9. Availability and Discretion
   Availability is limited. The promotion may be withdrawn or modified at any time without notice at the sole discretion of First Reference
   If availability is exhausted, orders may be refused or fulfilled without promotional benefits

10. Communication and Notices
    Promotional communications are provided for convenience. The controlling terms are those set forth in this document and the customer's master subscription agreement
    Any conflicting statements in marketing materials are superseded by these Terms and Conditions

11. Privacy and Data
    Participation in the promotion requires processing of customer information in accordance with the First Reference Privacy Policy. By participating, the customer consents to the processing required to administer the promotion

12. Taxes and Compliance
    Customers are responsible for all applicable taxes, duties, and fees
    Customers must comply with all laws and regulations applicable to the purchase and use of the products

13. Limitation of Liability
    To the maximum extent permitted by law, First Reference is not liable for indirect, incidental, special, consequential, or punitive damages related to the promotion
    In any event, First Reference total liability related to the promotion will not exceed the amount actually paid by the customer for the applicable subscription during the promotion period

14. Dispute Resolution and Governing Law
    Any disputes related to the promotion will be resolved under the governing law and venue specified in the customer's master subscription agreement with First Reference

15. Reservation of Rights
    First Reference reserves all rights not expressly granted in these Terms and Conditions. Participation in the promotion constitutes acceptance of these Terms and Conditions
